The present invention provides a phosphorus-containing rare earth ultra-stable Y-type zeolite and its preparation process which is NaY zeolite as the raw material, the reaction and dispersion of rare earth exchanged pre-exchange reaction, ultra-stable finally calcined. The rare earth oxide-containing molecular sieve of 1 to 20 weight%, phosphorus (as P) 0.1 to 5 wt%, sodium oxide, no greater than 1.2 weight%, a crystallinity of 51 to 69%, unit cell parameters 2.451nm ~ 2.469nm; prior techniques compared to the molecular sieve prepared by the method of rare earth ions in the sodalite cages positioned, and in the back exchange process without the loss of rare earth ions. With this molecular sieve as a catalytic cracking catalyst active component, it has the characteristics of high capacity and high value heavy oil conversion object product yield.
