The Mobility Directive has come into force on 1 January 2020 and shall be transposed into German law by 31 January 2023. A challenging topic concerns the protection of minority shareholders because of cross-border operations (conversion, merger, division). The article illustrates the right to exit the company by taking the example of a cross-border merger and shows various possibilities how to transpose the Directive properly.
