The present invention is one kind of thermosetting composite resin containing carbon nanotube and its preparation process, and belongs to the field of polymer material technology. The thermosetting composite resin consists of epoxidated carbon nanotube and thermosetting resin in the weight ratio of 0.01-10 to 100. The epoxidated carbon nanotube is prepared through mixing purified and acid oxidized carbon nanotube and silane cross-linking agent solution, stirring reflux at 40-80 deg.c for 10-48 hr, water washing and drying. The thermosetting composite resin containing carbon nanotube has well dispersed carbon nanotube and high interface strength, and may be applied in preparing high performance adhesive, composite material, etc.
